OFFICIAL RULES

To enter the Valvoline at O'Reilly 2025 Concacaf Gold Cup Sweepstakes ("Sweepstakes"), you ("Entrant") must agree to and abide by these Official Rules ("Official Rules").

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT IMPROVE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

THE FOLLOWING SWEEPSTAKES IS OPEN TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA. DO NOT ENTER THIS SWEEPSTAKES UNLESS YOU ARE AT LEAST EIGHTEEN (18) YEARS OF AGE (AND OF THE AGE OF MAJORITY FOR RESIDENTS OF AL, MI AND NE) AND RESIDE IN THE FIFTY (50) UNITED STATES OR THE DISTRICT OF COLUMBIA AT THE TIME OF ENTRY.

ELIGIBILITY: The Sweepstakes is open only to individuals who, at the time of entry are: (a) a legal resident of the fifty (50) United States or the District of Columbia (collectively, the "Territory"); and (b) at least eighteen (18) years of age (or the age of majority in their jurisdiction of residence, whichever is older). Employees, officers and directors of Sponsor, Administrator, O’Reilly Automotive Stores, Inc. ("O'Reilly"), Major League Soccer, L.L.C. ("MLS"), Soccer United Marketing, LLC ("SUM"), Pro Soccer Development, LP ("MLSNP"), Player Development, LLC ("PDEV" and together with MLS, SUM, MLSNP, and each of the MLS Clubs, the "SUM Entities"),The Confederation of North, Central America and Caribbean Association Football Inc. ("CONCACAF") and each of their respective parents, subsidiaries and affiliated companies, and their advertising and promotion agencies (collectively, "Sweepstakes Entities"), and the immediate family members and/or those living in the same household of any Sweepstakes Entity are not eligible to enter the Sweepstakes or win a prize. "Immediate family members" shall mean spouse, mother, father, in-laws, grandmother, grandfather, brother, sister, children and grandchildren, and step relationships of the foregoing, regardless of where they live. "Household members" shall mean people who share the same residence at least three (3) months a year, whether related or not. Void outside Territory and where prohibited, taxed or otherwise restricted by law. The Sweepstakes is subject to all applicable federal, state and local laws.

The SUM Entities, as well as CONCACAF Inc. are not a Sponsor or administrator of this Sweepstakes and are in no way responsible or liable for the administration of this Sweepstakes. All trademarks used are the property of their respective owner(s) and are used for prize description purposes only.

SWEEPSTAKES ENTRY: The Sweepstakes begins at 12:00:01 a.m. Eastern Time ("ET"), 6/12/2025 and ends at 11:59:59 p.m. ET, 7/13/25 ("Entry Period"). For purposes of these Official Rules, all times and days are Eastern Time. Administrator’s designated computer is the official clock for all matters related to this Sweepstakes.

During the Entry Period, eligible individuals may enter the Sweepstakes by following the instructions below (each an "Entry"):

Navigate the Internet to https://promotions.valvolineglobal.com/oreilly/goldcup ("Website") and complete the entry form including your full name, email address, and phone number (phone number is optional). To complete your Entry, click the "Submit" button on the Website. Proof of inputting information at the Website is not considered proof of delivery to or receipt by Sponsor or Administrator of an Entry. Receipt of an Entry may be acknowledged but such acknowledgment does not constitute a representation by Sponsor or Administrator as to eligibility of and Entry or Entrant and is not otherwise binding upon Sponsor or Administrator.

IF YOU DO NOT CHECK THE BOX INDICATING YOUR AGREEMENT TO THE ABOVE, YOU WILL NOT BE ELIGIBLE TO PARTICIPATE IN THE SWEEPSTAKES BY MEANS OF AN ENTRY OR WIN A PRIZE. DO NOT CHECK THE BOX WITHOUT FIRST REVIEWING THESE RULES, SPONSOR’S TERMS OF USE AND SPONSOR’S PRIVACY POLICY.

By entering this Sweepstakes, Entrants agree to these Official Rules and the decisions of the Administrator and Sponsor, which are binding and final in all matters relating to this Sweepstakes.

Limit of one (1) Entry per person during the Entry Period regardless of the number of email addresses or accounts a person may have. Multiple Entries received from any person beyond this entry limit will void all such Entries. Entries generated by a script, macro, or other automated means or by any means that subverts the entry process will be disqualified. Entries that are incomplete, garbled, corrupted, improperly recorded (or not recorded at all) or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted.

You may be asked to consent to receive promotional emails and reminder emails from Sponsor. Consenting to receive promotional emails and reminder emails is optional and does not have to be agreed upon in order to be eligible to participate in the Sweepstakes and does not improve your chances of winning. In the event you do consent to receive these emails, the use of such emails shall be subject to the privacy policy of the Sponsor (https://www.valvolineglobal.com/en/legal-notices/privacy-policy/) and you may opt out of receiving these emails at any time.

*IMPORTANT: Data rates may apply if online Sweepstakes entry is submitted via your mobile device according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges as well as charges for wireless Internet access) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers' rate plans may vary, and you should contact your wireless carrier for more information on messaging/data rate plans and charges relating to your participation in this Sweepstakes. Mobile device service may not be available in all areas. Check your device's capabilities for specific instructions.

RANDOM DRAWING/SELECTION OF WINNERS/ODDS: Potential winners (each a "Winner" and collectively the "Winners") will be selected from among all eligible entries received during the Entry Period via a random drawing conducted on or about 7/16/25. The drawing will be conducted by Administrator, whose decisions are final and binding on all matters related to the Sweepstakes.

Odds of winning depend on the total number of eligible entries received during the Entry Period.

PRIZE/APPROXIMATE RETAIL VALUE ("ARV"):

THREE (3) PRIZES (each a "Prize") are available to be won. Each Winner will receive one (1) Valvoline Gold Cup Prize Pack consisting of: one (1) used match ball and one (1) piece of netting from a match. Exact match of ball and/or netting to be determined by Sponsor and SUM Entities at their sole discretion. Match ball and netting do NOT come with a certificate of authenticity. Each Winner will also receive (1) $500 O'Reilly Auto Parts Gift Card (subject to Gift Card Terms and Conditions here). ARV of each Prize: $800.00. ARV does not reflect re-sale or appraisal value of match ball and/or netting. If any component of the Prize is not available for any reason, then the Sponsor reserves the right to substitute that portion of the Prize with another item of comparable or greater value.

Total ARV of all Prizes: $2,400.00.

All applicable U.S. federal, state and local taxes (including, but not limited to income and withholding taxes, sales taxes), as applicable on or connected with claiming a prize, and the reporting consequences thereof, and any other expenses not specifically included in a prize description are the sole responsibility of the Winner. Each Winner will receive an IRS Form 1099-MISC reflecting the total fair market value of the Prize.

There is a limit of one (1) Prize per person, family, household or address. Prize will only be awarded to a street address located in fifty (50) United States or District of Columbia. Prize must be accepted in its entirety or not at all; Winner may not accept only certain elements of prize. If any element of prize is unused by Winner, no compensation or substitute prize will be awarded, and Sponsor, Administrator and O'Reilly disclaim any and all liability in conjunction therewith. Any images of any prize in advertising are for illustrative purposes only and actual items awarded as the prize may differ from such images. Prize items may ship separately. Prize elements will not be replaced if lost or stolen, and Sweepstakes Entities disclaim any and all liability in conjunction therewith. Sponsor will not replace any lost, mutilated or stolen prize elements or any prize element that is undeliverable or does not reach Winner because of an incorrect or changed address or other contact information. Allow up to 6-8 weeks after completion of Prize Claim Documents for delivery of Prize. Tracking numbers will NOT be provided. Prize(s) returned as undeliverable may be forfeited. Winners are strictly prohibited from selling, auctioning, trading or otherwise transferring any part of the Prize. All prizes will be awarded provided a sufficient number of eligible entries are received. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes promotional materials and the terms and conditions of these Official Rules, these Official Rules shall prevail and govern.

WINNER NOTIFICATION: Administrator will attempt to notify the Entrants selected as potential Winners by email on or about 7/18/2025. To be determined a Winner, a selected Entrant will be required to complete, sign and return within five (5) business days of date of attempted notification an Affidavit of Eligibility, Liability Release and Indemnification, and a Publicity Release where allowed by law, as well as other documents that Sponsor may require (collectively, "Prize Claim Documents"). Return of email notification as undeliverable after two (2) attempts, or failure to return the completed and signed Prize Claim Documents within the indicated time period will result in disqualification, prize forfeiture and selection of an alternate potential winner from among all remaining eligible entries received.

In the event of any dispute concerning the identity of any Entrant that Sponsor is unable to resolve, the Entry will be deemed submitted by the natural person who is the authorized account holder of the e-mail address associated with the Entry or the email address indicated Entry, as applicable. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted email address.

CONDITIONS AND LIMITATIONS OF LIABILITY: By participating in this Sweepstakes, Entrants agree to release and hold harmless the Sweepstakes Entities, as well as each of their respective officers, directors, employees, agents and representatives and each of their respective successors, representatives and assigns, as well as Meta Platforms, Inc. and X Corp. (collectively, "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes or any Sweepstakes-related activity or travel, and/or acceptance, receipt, possession or use/misuse of any prize.

By entering, Entrants also authorize the Sponsor, the SUM Entities, and its designees to use their name, voice, likeness, photograph, prize information (if applicable), biographical data and city and state of residence in programming, advertising and/or promotional material or on a Winners’ list (if applicable) without compensation to the extent permitted by law. Sponsor is not obligated to use any of the above-mentioned information or materials, but may do so and may edit such information or materials, at Sponsor's sole discretion, without obligation or compensation.

All applicable federal, state and local laws and regulations apply. All entries become the property of the Sponsor.

Sponsor and its agencies are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind affecting the Sweepstakes in any manner, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the Sweepstakes is not capable of running as planned, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond Sponsor’s control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes (including entries or otherwise), Sponsor reserves the right, in its sole discretion, to disqualify any individual, whether or not the individual is a participant in the Sweepstakes, who tampers with the entry process, and to terminate, modify or suspend the Sweepstakes. In such event, Sponsor reserves the right to conduct the Sweepstakes and award the prizes in a manner which is fair, appropriate and consistent with these Official Rules, as determined by Sponsor in its sole discretion. Notice of termination/modification/suspension of Sweepstakes will be posted on the Website. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or loss, destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer or internet online systems, servers, or providers, computer equipment, software, failure of any email or electronic entry or participation to be received on account of technical problems or traffic congestion on the Internet or at any website/platform, or any combination thereof, including any injury or damage to any person's computer related to or resulting from participation in or downloading any materials from this Sweepstakes. Failure of Sponsor or Administrator to enforce any provision of these Official Rules shall not constitute the waiver of such provision. If any provision of these Official Rules is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Entrants further agree not to knowingly damage or cause interruption of the Sweepstakes and/or prevent others from participating in the Sweepstakes. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE, WEBSITE OR PLATFORM OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES OR TO DEFRAUD SPONSOR OR ADMINISTRATOR IN CONJUNCTION WITH OFFERING THE SWEEPSTAKES, MAY VIOLATE CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PERSON, WHETHER OR NOT THE INDIVIDUAL IS A PARTICIPANT IN THE SWEEPSTAKES, MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

SPONSOR MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE USE OF ANY PRIZE, INCLUDING, WITHOUT LIMITATION, THEIR QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

DISPUTES: Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the applicable state or federal court in Lexington, Kentucky; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Kentucky without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Kentucky or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Kentucky.

PRIVACY POLICY/DATA COLLECTION: Information provided by you in conjunction with a Sweepstakes entry is subject to Sponsor’s privacy policy, available at https://www.valvolineglobal.com/en/legal-notices/privacy-policy/.

WINNERS' LIST: For the first name, last initial, and city of the Winners, mail a self-addressed, stamped envelope (VT residents may omit postage on return envelope) to: Valvoline 2025 Concacaf Gold Cup Sweepstakes Winners, c/o Probability, PO Box 400, Social Circle, GA 30025-9998. All such requests must be received by July 30, 2025. Limit one (1) request per outer mailer.
