OFFICIAL RULES

To enter the Valvoline at AutoZone Drive to 10K Sweepstakes ("Sweepstakes"), you ("Entrant") must agree to and abide by these Official Rules ("Official Rules").

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT IMPROVE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

THE FOLLOWING SWEEPSTAKES IS VALID ONLY IN THE FIFTY (50) UNITED STATES, THE DISTRICT OF COLUMBIA, PUERTO RICO, AND U.S. VIRGIN ISLANDS. DO NOT ENTER THIS SWEEPSTAKES UNLESS YOU ARE AT LEAST EIGHTEEN (18) YEARS OF AGE (OR THE AGE OF MAJORITY IN YOUR JURISDICTION OF RESIDENCE, WHICHEVER IS OLDER) AND LOCATED IN THE FIFTY (50) UNITED STATES, THE DISTRICT OF COLUMBIA, PUERTO RICO, OR U.S. VIRGIN ISLANDS AT THE TIME OF ENTRY.

1. SPONSOR: VGP Holdings LLC ("Sponsor"), 100 Valvoline Way, Lexington, KY 40509.

2. ADMINISTRATOR: Probability, LLC ("Administrator"), 2 Woodstock Meadows Ln, PO Box 1484, Woodstock, New York 12498.

3. ELIGIBILITY: The Sweepstakes is open only to individuals who, at the time of entry: (a) are a legal resident of the fifty (50) United States, the District of Columbia, Puerto Rico or the U.S. Virgin Islands (collectively, the "Territory"); (b) are at least eighteen (18) years of age (or the age of majority in their jurisdiction of residence, whichever is older); and (c)  have an AutoZone Rewards account in good standing at time of entry. Employees, officers and directors of Sponsor, Administrator, AutoZone, Inc./AutoZone.com, Inc. (collectively, "AutoZone"), and each of their respective parents, subsidiaries and affiliated companies, and their advertising and promotion agencies (collectively, "Sweepstakes Entities"), and the immediate family members and/or those living in the same household of any Sweepstakes Entity are not eligible to enter the Sweepstakes or win any prize. "Immediate family members" shall mean spouse, mother, father, in-laws, grandmother, grandfather, brother, sister, children and grandchildren, and step relationships of the foregoing, regardless of where they live. "Household members" shall mean people who share the same residence at least three (3) months a year, whether related or not. Void outside Territory and where prohibited, taxed or otherwise restricted by law. The Sweepstakes is subject to all applicable federal, state and local laws.

4. SWEEPSTAKES ENTRY: The Sweepstakes begins at 7:00:01 a.m. Eastern Time ("ET"), November 18, 2025 and ends at 11:59:59 p.m. ET, December 29, 2025 ("Entry Period"). For purposes of these Official Rules, all times and days are Eastern Time. Administrator’s designated computer is the official clock for all matters related to this Sweepstakes.

During the Entry Period, eligible individuals may enter the Sweepstakes in one of two ways (each an "Entry"): 

You must be an AutoZone Rewards member to enter. If you are not an AutoZone Rewards member at the time of entry, you can register in store (at participating AutoZone locations), visit https://www.autozone.com or download the AutoZone app on a compatible device from the iTunes App Store or Google Play and register for AutoZone Rewards according to the instructions on the website/app. A purchase or payment is NOT required to register as an AutoZone Rewards member. Please note that you must agree to the AutoZone Rewards Program  Terms and Conditions available here in order to register for the Program. For clarity, registration for the  AutoZone Rewards Program must precede Sweepstakes entry, including entry made in conjunction with any eligible Valvoline oil products purchase.

Method #1 - Purchase Entry ("Purchase Entry"): During the Entry Period purchase any five (5) quart equivalence of eligible Valvoline oil products, in a single transaction, at any AutoZone location in the fifty (50) United States, the District of Columbia, Puerto Rico or the U.S. Virgin Islands which participates in the AutoZone Rewards Program or on https://www.autozone.com ("Eligible Products"). See section 5 below for a list of Eligible Products. After completing your purchase, navigate the Internet to https://promotions.valvolineglobal.com/autozone/driveto10k  ("Website") and follow these steps:

1. Complete the entry form including your first name, last name, street address, city, state, zip code, email address and phone number used to register for AutoZone Rewards Program.
2. Upload a copy of your proof of purchase (i.e., cash register receipt or online invoice clearly showing your AutoZone Rewards ID, Eligible Products purchased and the quantity of each, the (participating) AutoZone location at which the Eligible Products were purchased (or AutoZone website), and the date of purchase.  

To complete your Purchase Entry, click the "Submit" button on the Website. Proof of inputting information at the Website is not considered proof of delivery to or receipt by Sponsor or Administrator of a Purchase Entry. Receipt of Purchase Entry may be acknowledged but such acknowledgment does not constitute a representation by Sponsor or Administrator as to eligibility of an Entry or Entrant and is not otherwise binding upon Sponsor or Administrator.

In submitting a Purchase Entry, you represent and warrant that the purchase included as part of your entry was a legitimate, bona fide purchase for your personal use as a consumer utilizing your AutoZone Rewards Program membership. In addition, purchases made by business entities for company use will not count as Purchase Entries.

IF YOU DO NOT CHECK THE BOX INDICATING YOUR AGREEMENT TO THE ABOVE, YOU WILL NOT BE ELIGIBLE TO PARTICIPATE IN THE SWEEPSTAKES BY MEANS OF A PURCHASE ENTRY OR WIN ANY PRIZE. DO NOT CHECK THE BOX WITHOUT FIRST REVIEWING THESE RULES, SPONSOR’S TERMS OF USE AND SPONSOR’S PRIVACY POLICY.

Purchase Entry will NOT be valid if (a) the proof of purchase is corrupted, inaccessible, garbled, unreadable, not genuine, jumbled, irregular or otherwise unacceptable; (b) the Eligible Products purchase was not made during the Entry Period; (c) the proof of purchase and/or the AutoZone Rewards ID  is not included at time of submission of the entry form (piecemeal or partial submissions will not be accepted); (d) the Eligible Products were received in exchange for the return of other product(s); or (e) the retailer identified on the proof of purchase is not an AutoZone location which participates in the AutoZone Rewards Program (or www.autozone.com). Any attempt to forge a proof of purchase or misrepresent one’s membership in the AutoZone Rewards Program will not result in Purchase Entry and may constitute tampering/fraud as per Rule 9 below. By entering this Sweepstakes, Entrants agree to these Official Rules and the decisions of the Administrator and Sponsor, which are binding and final in all matters relating to this Sweepstakes.

Entries that are incomplete, garbled, corrupted, improperly recorded (or not recorded at all) or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted.

GIFT WITH PURCHASE ENTRY: Follow the steps to complete the Sweepstakes Entry Form and submit as directed above. Eligible Entrants (as determined by Sponsor/Administrator in their sole discretion) who enter the Sweepstakes prior to December 29, 2025 at 11:59:59 p.m. ET (i.e., the end of the Entry Period) will receive one (1) Valvoline branded baseball cap ("Gift") by mail (while supplies last). Limit one (1) Gift per household (even if eligible Entrant submits two [2] Purchase Entries in compliance with these Official Rules). Please allow up to eight (8) weeks from date of submission of Sweepstakes Entry for delivery of Gift (assuming Sponsor/Administrator validates submission and supplies last). Gift will only be mailed to a street address in the fifty (50) United States, the District of Columbia, Puerto Rico or the U.S. Virgin Islands.  Gift may differ from images of same in advertising material with Sponsor disclaiming any and all liability in conjunction therewith. Gift must be accepted as provided; no substitutions, cash redemptions, returns or exchanges available. Sponsor, Administrator and AutoZone make no representation or warranty of any kind regarding Gift. Once Gift is provided to Eligible Entrant, it becomes their sole responsibility and will not be replaced if lost, stolen or damaged. Sponsor, Administrator and AutoZone disclaim any and all liability regarding Gifts that are late, lost, stolen, misdirected, delayed, damaged in transit or returned as undeliverable.

Method #2: NO PURCHASE NECESSARY. Entry Without Purchase of Eligible Product ("Mail-In Entry"): To enter without purchasing Eligible Products, handprint your first name, last name, street address, city, state, zip code, email address and/or phone number (associated with your AutoZone Member ID) (REQUIRED) on a 3"x5" index card and mail it in a #10 sealed envelope with the proper postage affixed to: Valvoline at AutoZone Drive to 10K Sweepstakes, P.O. Box 400, Social Circle, GA 30025-9998. Envelopes must be postmarked by December 29, 2025, and received by January 7, 2026. No photocopies, facsimiles, or mechanically reproduced Mail-In Entries will be accepted. Sponsor and Administrator are not responsible for Mail-In Entries that are, for any reason, late, lost, misdirected, damaged, incomplete, illegible, or have insufficient postage. Limit one (1) entry per postage paid outer envelope. No Gift will be provided to Entrants participating in the Sweepstakes via Mail-In Entry.

Purchase Entry and Mail-In Entry may be collectively referred to herein as "Entry" or "Entries."

FOR ALL TYPES OF ENTRIES:

Limit: two (2) Entries per person during the Entry Period regardless of the number of email addresses or accounts a person may have, or the entry method utilized.  If entering twice via Purchase Entry (Method #1), each five (5) quart equivalence of Eligible Products must be on its own separate receipt and purchased during its own separate visit to a participating AutoZone location (or online order). Multiple Entries received from any person beyond this entry limit will void all such Entries. Entries generated by a script, macro, or other automated means or by any means that subverts the entry process will be disqualified.

You may be asked to consent to receive promotional e-mails and reminder e-mails from Sponsor. Consenting to receive promotional e-mails and reminder e-mails is optional and does not have to be agreed upon in order to be eligible to participate in the Sweepstakes and does not improve your chances of winning. In the event you do consent to receive these e-mails, the use of such e-mails shall be subject to the privacy policy of the Sponsor (https://www.valvolineglobal.com/en/legal-notices/privacy-policy/) and you may opt out of receiving these e-mails at any time.

*IMPORTANT: Data rates may apply if online Sweepstakes entry is submitted via your mobile device according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges as well as charges for wireless Internet access) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers' rate plans may vary, and you should contact your wireless carrier for more information on messaging/data rate plans and charges relating to your participation in this Sweepstakes. Mobile device service may not be available in all areas. Check your device's capabilities for specific instructions.

5. ELIGIBLE PRODUCTS VIA PURCHASE: Below is a list of AutoZone's SKU Numbers and the quantity of Eligible Product needed to be purchased to receive one (1) Purchase Entry.

6. RANDOM DRAWING/SELECTION OF WINNERS/ODDS: Potential winners (each a "Winner", collectively "Winners") will be selected from among all eligible entries received during the Entry Period via a random drawing conducted on or about January 8, 2026. The drawing will be conducted by Administrator, whose decisions are final and binding on all matters related to the Sweepstakes.

Odds of winning depend on the total number of eligible entries received during the Entry Period.

7. PRIZES/APPROXIMATE RETAIL VALUES ("ARV"):

ONE (1) GRAND PRIZE ("Grand Prize") is available to be won. The Grand Prize Winner will receive ten thousand dollars ($10,000.00). The Grand Prize will be awarded in the form of a check in the name of the Winner. ARV of Prize: $10,000.00.

THREE (3) FIRST PRIZES (each a "First Prize") are available to be won. Each First Prize Winner will receive one thousand dollars ($1,000.00). Each First Prize will be awarded in the form of a check in the name of the Winner. ARV of Prize: $1,000.00 each.

TWENTY-FIVE (25) SECOND PRIZES (each a "Second Prize") are available to be won. Each Second Prize Winner will receive five hundred dollars ($500.00). Each Second Prize will be awarded in the form of a check in the name of the Winner. ARV of Prize: $500.00 each.

TOTAL ARV OF ALL PRIZES: $25,500.00

Prizes are non-transferable and no substitution will be made. Please allow 6-8 weeks from date of verification for delivery of the Prize check. Limit of one (1) Prize per person, family or address.

All applicable U.S. federal, state and local taxes (including, but not limited to income and withholding taxes, sales taxes), as applicable on or connected with claiming the Prize, and the reporting consequences thereof, and any other expenses not specifically included in Prize description are the sole responsibility of the Prize Winner. The Grand Prize Winner and First Prize Winners will receive an IRS Form 1099-MISC reporting their Prize as income.

8. WINNER NOTIFICATION: Administrator will attempt to notify each Entrant selected as a potential Winner by email on or about January 8, 2026. To be determined as a potential Winner, the selected Entrant will be required to complete, sign and return within five (5) business days of date of attempted notification an Affidavit of Eligibility, Liability Release and Indemnification, and a Publicity Release where allowed by law, as well as other documents that Sponsor may require (collectively, "Prize Claim Documents"). Failure to respond to the initial notification within three (3) business days after notification, return of e-mail notification as undeliverable after two (2) attempts, or failure to return the completed and signed Prize Claim Documents within the indicated time period will result in disqualification, prize forfeiture and selection of an alternate potential winner from among all remaining eligible entries received.

In the event of any dispute concerning the identity of any Entrant that Sponsor is unable to resolve, the Entry will be deemed submitted by the natural person who is the authorized account holder of the phone number associated with the AutoZone Rewards Member ID.

9. CONDITIONS AND LIMITATIONS OF LIABILITY: By participating in this Sweepstakes, Entrants agree to release and hold harmless the Sweepstakes Entities, as well as each of their respective officers, directors, employees, agents and representatives and each of their respective successors, representatives and assigns, as well as Meta Platforms, Inc. and X Corp. (collectively, "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes or any Sweepstakes-related activity or travel, and/or acceptance, receipt, possession or use/misuse of any prize.

By entering, Entrants also authorize the Sponsor and its designees to use their name, voice, likeness, photograph, prize information (if applicable), biographical data and city and state of residence in programming, advertising and/or promotional material or on a Winners' list (if applicable) without compensation to the extent permitted by law. Sponsor is not obligated to use any of the above-mentioned information or materials, but may do so and may edit such information or materials, at Sponsor's sole discretion, without obligation or compensation.

All federal, state and local laws and regulations apply. All entries become the property of the Sponsor.

Sponsor and its agencies are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind affecting the Sweepstakes in any manner, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the Sweepstakes is not capable of running as planned, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond Sponsor’s control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes (including entries or otherwise), Sponsor reserves the right, in its sole discretion, to disqualify any individual, whether or not the individual is a participant in the Sweepstakes, who tampers with the entry process, and to terminate, modify or suspend the Sweepstakes. In such event, Sponsor reserves the right to conduct the Sweepstakes and award the Prizes in a manner which is fair, appropriate and consistent with these Official Rules, as determined by Sponsor in its sole discretion. Notice of termination/modification/suspension of Sweepstakes will be posted on the Website. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or loss, destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer or internet online systems, servers, or providers, computer equipment, software, failure of any email or electronic entry or participation to be received on account of technical problems or traffic congestion on the Internet or at any website/platform, or any combination thereof, including any injury or damage to any person's computer related to or resulting from participation in or downloading any materials from this Sweepstakes. Failure of Sponsor or Administrator to enforce any provision of these Official Rules shall not constitute the waiver of such provision. If any provision of these Official Rules is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Entrants further agree not to knowingly damage or cause interruption of the Sweepstakes and/or prevent others from participating in the Sweepstakes. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE, WEBSITE OR PLATFORM OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES OR TO DEFRAUD SPONSOR, ADMINISTRATOR OR AUTOZONE IN CONJUNCTION WITH THE SWEEPSTAKES, MAY VIOLATE CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PERSON, WHETHER OR NOT THE INDIVIDUAL IS A PARTICIPANT IN THE SWEEPSTAKES, MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

10. DISPUTES: Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or the award of  prizes shall be resolved individually, without resort to any form of class action, and exclusively by the applicable state or federal court in Lexington, Kentucky; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Kentucky without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Kentucky or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Kentucky.

11. PRIVACY POLICY/DATA COLLECTION: Information provided by you in conjunction with a Sweepstakes entry is subject to Sponsor’s privacy policy, available at https://www.valvolineglobal.com/en/legal-notices/privacy-policy/.

12. WINNERS' LIST: For the first name, last initial, and city of Winners, mail a self-addressed, stamped envelope (VT residents may omit postage on return envelope) to: Valvoline at AutoZone Drive to 10K Sweepstakes Winners, c/o Probability, PO Box 400, Social Circle, GA 30025-9998. All such requests must be received by January 30, 2026. Limit one (1) request per outer mailer.

This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Meta Platforms, Inc. or X Corp. You understand that you are providing your information in connection with the Sweepstakes to Sponsor and not to Meta Platforms, Inc. or X Corp.
